1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Merchant") and Globapay Holdings Ltd. ("Globagift", "we", "us", or "our"), regarding your access to and use of the Globagift website and digital gifting platform (the "Services").
Globapay Holdings Ltd. is a company registered in Ireland (Company Number: 781644) with an address at 20 Harcourt St, Dublin D02 H36, Ireland. By accessing the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services.
2. Services & Availability
Globagift provides a digital infrastructure for the issuance, management, and redemption of digital gift cards and store credit. We strive to maintain high availability of our Services; however, we do not guarantee uninterrupted access.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We will not be liable if all or any part of the Services is unavailable at any time or for any period.
3. Merchant Obligations
As a Merchant using Globagift, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials and notify us immediately of any unauthorized use.
- Honor all valid gift cards issued via the platform according to their stated value and terms.
- Comply with all applicable consumer protection, anti-money laundering (AML), and tax laws in your jurisdiction.
- Refrain from using the platform for any fraudulent or illegal activity.
4. Fees & Billing
Use of the platform is subject to the fees outlined in your specific pricing plan or service agreement. All fees are non-refundable unless otherwise stated.
Unless otherwise specified, all fees are exclusive of VAT and other applicable taxes. You are responsible for all taxes associated with your use of the Services. We reserve the right to change our fees upon providing 30 days' notice.
5. Intellectual Property
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Globapay Holdings Ltd., its licensors, or other providers of such material and are protected by Irish and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business operations. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms.
6. Confidentiality & Data Protection
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own, and in any event no less than reasonable care.
Our processing of personal data is governed by our Privacy Policy. By using the Services, you agree to the collection and use of information as detailed therein, in compliance with the General Data Protection Regulation (GDPR) and Irish data protection laws.
Data Processing Agreement (GDPR Art. 28): Where you instruct Globapay Holdings Ltd. to process personal data on your behalf (for example, end-customer data transmitted through the platform), Globapay acts as a data processor and you as the data controller. Such processing is subject to a Data Processing Agreement ("DPA"), the current version of which is available upon request at [email protected]. By using the Services you agree to the terms of the DPA.
Security Breach Notification: In the event of a personal data breach affecting your data, Globapay Holdings Ltd. will notify you without undue delay and, where feasible, within 72 hours of becoming aware of the breach, in accordance with GDPR Articles 33 and 34. Notifications will be sent to the email address associated with your account and will include, to the extent known, the nature of the breach, the categories and approximate number of data subjects and records affected, the likely consequences, and the measures taken or proposed to address the breach.
7. Warranties & Disclaimers
The Services are provided on an "as is" and "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranty that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free.
8. Limitation of Liability
To the maximum extent permitted by law, Globapay Holdings Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us for the Services in the six (6) months preceding the event giving rise to the claim.
9. Indemnity
You agree to defend, indemnify, and hold harmless Globapay Holdings Ltd., its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services.
10. Suspension & Termination
We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Post-Termination Data Handling: Following termination or expiry of your account, Globapay Holdings Ltd. will, at your written request made within 30 days of termination, provide you with an export of your account data in a commonly used machine-readable format. After that 30-day window, or upon completion of the export, we will securely delete or anonymise your personal data, unless we are required by law to retain it for a longer period. Any retained data will be held in accordance with our Privacy Policy and applicable data protection law.
11. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of Ireland.
The courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.
12. Changes to Terms
We may revise and update these Terms from time to time in our sole discretion. For material changes — including changes to your rights or obligations — we will provide at least 14 days' written notice via email to the address associated with your account before the revised Terms take effect. Non-material changes (such as corrections, clarifications, or changes required by law) may take effect immediately upon posting.
Your continued use of the Services after the effective date of any revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Services before they take effect.
